RESOLUTION TO AMEND THE CHARTER

WHEREAS, the Charter and Bylaws Committee has conducted a comprehensive review of the Association’s Charter to determine whether any existing provisions should be updated or revised;

WHEREAS, the Charter and Bylaws Committee has recommended that the Charter of the Association should be amended:

a. To reflect the Association’s commitment to diversity;

b. To be gender neutral;

c. To remove the historical responsibility of the Association “to cause the punishment and removal from office of all incompetent or guilty persons who are in any way connected with the administration of justice or in charge of the
public records,” as that responsibility now resides in bodies other than the Association; and

d. To remove the obligation of the Association “to maintain a law library,” as that role is now vested in the independent Jenkins Law Library; and

WHEREAS, the Board of Governors has considered the recommended amendments, as attached hereto, and agrees with the recommendations of the Charter and Bylaws Committee;

NOW, THEREFORE, BE IT RESOLVED that the Board of Governors hereby proposes, in accordance with 15 Pa. C.S.A. § 5912, that the Charter be amended as recommended by the Charter and Bylaws Committee, the text of which is attached hereto and included by reference;

AND BE IT FURTHER RESOLVED that the Board of Governors hereby directs that written notice of the proposed amendments be given to the Members and that the proposed amendments be submitted thereafter to a vote of the Members for adoption, in accordance with 15 Pa. C.S.A. § 5912-14.
