Resolution Eliminating the Nominating Committee, Creating an Elections Committee and Revising the Nominating Process

WHEREAS, the Philadelphia Bar Association is committed to encouraging all interested members of the Association to stand for election for the offices of Vice Chancellor, Secretary, Treasurer, Assistant Secretary, Assistant Treasurer, and for membership on the Board of Governors;

WHEREAS, the function of the Nominating Committee is to render the official endorsement of the Association with respect to candidates standing for Association elections;

WHEREAS, pursuant to Section 402(F) of the Association’s Bylaws, the Nominating Committee is required to endorse one or more nominees for the offices of Vice Chancellor, Secretary, Treasurer, Assistant Secretary, Assistant Treasurer, and three nominees for election to membership on the Board of Governors;

WHEREAS, the endorsements of the Nominating Committee, which have the effect of favoring the endorsed candidates over all others for a particular office, are inconsistent with the goal of encouraging interested individuals to run for the Board of Governors and the line offices;

WHEREAS, Chancellor Pratt has convened a Nominating Committee Task Force to review the nomination process of the Association and to make such recommendations for modification and improvement of that process as would be in the best interests of the Association and its Members; and,

WHEREAS, the Nominating Committee Task Force, after careful review and consideration of the current nominating process, has recommended the elimination of the Nominating Committee, the creation of an Elections Committee and revision of the nominating process for the Board of Governors and offices of the Association, and has issued a Report with recommendations for amendment to Article IV of the Bylaws relating to the nomination process.

NOW, THEREFORE, BE IT RESOLVED that the Philadelphia Bar Association Board of Governors supports the elimination of the Nominating Committee, the creation of an Elections Committee and revision of the nominating process as described in the Nominating Committee Task Force Report and directs the Charter and Bylaws Committee to draft an amendment to Article IV of the Bylaws consistent with this resolution and the recommendations of the Nominating Committee Task Force.
