Small Business Committee

The Small Business Committee is organized to assist business lawyers in Philadelphia and the surrounding counties with the practical implications of the delivery of legal services and general counseling to growing business enterprises. The Committee recognizes that small business owners look to their attorneys for advice on a wide range of subjects from structuring an initial business plan, to counseling on exit strategies.

  • Small Business Committee and PICPA Networking Happy Hour

    The Small Business Committee along with the Pennsylvania Institute of Certified Public Accountants (PICPA) host an evening of networking, food, and drinks. With 22,000 members, PICPA is Pennsylvania's premiere professional organization for CPAs. Event included complimentary light appetizers; a cash bar was open from 5:30 - 7:30 pm.

    Steven Rosard is the principal and owner of Rosard Law LLC and Director of the Entrepreneurial Law Clinic of the Drexel University School of Law. Steve has over 20 years of business law experience practicing with law firms, as in-house corporate counsel, and in solo practice, providing strategic legal advice to entrepreneurs, startups, emerging businesses and public companies. His practice includes general business representation of corporations and alternate entities, including formation, governance, securities, venture capital, and general business transactions.


    Joanne Murray is a partner at Antheil, Maslow & Macminn, LLP. Joanne helps entrepreneurs and closely-held businesses to guide them through the new entity formation process and to structure, negotiate and implement business transactions such as asset and stock acquisitions, mergers, financing transactions, real estate purchases and leases, and business separations. She also assists her business and nonprofit clients with negotiating a wide range of contracts Joanne is actively involved in the Bucks County community. She was recently elected Vice President/President-Elect of the Bucks County Bar Association. She serves as Vice Chair of the Board of Directors of the Bucks County Children?s Museum. She also serves on the Boards of the Bucks County Bar Foundation and the Bucks County Symphony Foundation.


    Michael Adler focuses his practice on the representation of publicly-traded and privately-held corporations, restaurants, developers and property and financial management companies in complex commercial and litigation matters. He isa trustee and Chair of the Grants Committee of the Philadelphia Bar Foundation and on the Board of Directors of Temple Beth Hillel-Beth El in Wynnewood, PA. He is an active member of the Temple American Inn of Court, the Global Philadelphia Association, and the General Counsel to American Friends of Ariel and Dolce Suono Ensemble. He was recently elected a Committeeman in Lower Merion Township. He is a member of the Litigation Section of the American Bar Association and recently served as the Financial Secretary of the Young Lawyers Division of the Philadelphia Bar Association. He was recently selected by his peers in the Pennsylvania Law Weekly and the Legal Intelligencer as a Lawyer on the Fast Track and in Philadelphia Magazine as a Pennsylvania Super Lawyer.

    Kate Tepper is a practicing corporate attorney with the Philadelphia-based multi-national law firm Duane Morris, LLP. Her practice includes public and private offerings of debt, equity and hybrid securities; mergers, acquisitions and other strategic transactions; and the securitization of residential mortgages and trade receivables. She provides innovative mentorship for entrepreneurial programs at the Wharton Business School and Drexel University. She is also Chair of the Philadelphia Bar Association?s Small Business Committee and a member of the Fellows Committee of the Alliance for Women Entrepreneurs. She has authored articles on a variety of business and finance topics and has been contributing editor to nationally acclaimed Real Estate Law Journal. Kate has provided counsel to many charitable organizations such as the United Way, Greater Philadelphia Cares and Philadelphia Law Works and serves as an advisor to several charitable boards.

    Richard L. Cohen concentrates his practice in the areas of securities, mergers and acquisitions, corporate financing (public and private), general corporate law and business counseling. His client base includes a broad range of business entities, both public and private, including manufacturing companies, biotechnology and technology companies, telecommunications companies, banks and insurance companies, start-up entities and venture capital firms. He is a 1995 graduate of New York University School of Law and a graduate of The Wharton School of the University of Pennsylvania.

    He regularly lectures on the legal issues impacting early stage companies at the Wharton School of the University of Pennsylvania and presents to the Wharton Venture Initiation Program on a variety of the legal issues relevant to entrepreneurs.

    Neil Cooper

    Neil Cooper is a Partner of the firm. He focuses his practice primarily on business and corporate law matters, effectively serving as outside general counsel to many of his clients. Among other things, Mr. Cooper advises clients on structuring, negotiating, and documenting finance transactions, acquisitions and dispositions, solar energy transactions, licensing transactions, and a broad range of business agreements, with emphasis on start-up and emerging growth companies, entrepreneurs, and investors in a variety of industries, especially technology. He also counsels founders, executives, and investors with respect to equity positions, governance, employment arrangements, and agreements among investors.   • Choice of Entity Issues: LLC or S Corporation?

    This afternoon CLE will address the tax and non-tax implications of choosing an LLC or an S corporation as the most appropriate business entity for your smaller business clients. The discussion will focus on the tax issues regarding the receipt of compensation for services or passive income, in light of recent tax law changes. While on the non-tax side, limited liability companies offer greater flexibility in ownership, governance, fiduciary duties and transfer restrictions; corporations provide greater certainty as to legal requirements. These topics, among others will be explored. Our experienced speakers will also touch on "benefit corporations," enabled by legislation in Pennsylvania and Delaware just this year.

  • Mediation of Business Disputes Involving Small Businesses

    The goal of this CLE presentation will be to explore the considerable benefits of mediation to resolve disputes involving small businesses, to provide advice on the selection of a mediator, and to convey an understanding of the nuts and bolts of the typical mediation process.     Mr. Gough is a graduate of the Yale Law School and has been a Partner and Of Counsel at several large Philadelphia law firms. He established his own firm in 2005. Having had firsthand experience with the time and cost expended by parties in business litigation, often with disappointing results, he is an outspoken advocate for mediation to resolve business disputes, particularly for small businesses, as they can least afford the burdens of business litigation.

  • Small Business Committee Meeting

    Sales and Acquisitions of Small Businesses:
    The Process from the Perspective of Owners and Buyers

    Susan Freedman, investment banker specializing in mergers and acquisitions, will provide an overview of the sale and acquisition process from the perspective of owners and buyers of small businesses.

    The initial phase of the process is the planning phase which must be done properly and timely in order for the remainder of the process to ensue efficiently and successfully. The next phase is contacting and screening prospects to determine their level of commitment and ability to consummate a transaction. The third phase involves the negotiations regarding the purchase/sale price and terms of the transaction. Finally, the last phase consists of successfully closing the transaction.

    In addition to discussing the role of the intermediary, Ms. Freedman will highlight the roles of other professionals such as the attorneys, accountants, and bankers. For a transaction to proceed smoothly and cost effectively which is an important factor to our small business clients, it is imperative that all parties and their professional advisors know how to work together for a common goal.

    At this meeting, we will hear from Mark Vogelbacker, a patent attorney with Panitch Schwarze Belisario and Nadel. Mr. Vogelbacker will provide a brief overview of the America Invents Act signed September 16, 2011, which significantly changes many aspects of US patent laws for the first time since 1952. Parts of the act are already in effect and other parts phase in by March 16, 2013.     Small Business Committee Meeting

    Do you represent small businesses in the areas of transactional law, litigation, real estate, intellectual property - or any other disciplines? Can you share your insights with your fellow Philadelphia Bar Association colleagues? Do you currently or hope in the future to represent small businesses in these areas?

    It is time to plan for 2012 and the work of the Small Business Committee. Current suggestions are for quarterly meetings covering new topics such as the nuts and bolts of real estate considerations for small business and litigation management and avoidance for small businesses. A business clinic is on the drawing board as well as ideas to work with other committees of the Business Law Section. Law students are the future of our profession and so consideration on getting them involved is in the works as well.
